GangesSoft LLP - Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern the provision of software consultancy services ("Services") by GangesSoft LLP ("we," "us," or "our"), a Limited Liability Partnership registered in New Delhi, India, with its registered office at [New Rajinder Nagar, New Delhi - 11060], to our clients ("you" or "client"). By engaging our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not engage our Services.

2. Services

Scope of Services: The specific Services to be provided will be detailed in a separate engagement letter or statement of work ("SOW") agreed upon by both parties. The SOW will outline the scope of work, deliverables, timelines, and agreed-upon fees.

Confidentiality: GangesSoft LLP will maintain the confidentiality of all client information received during the course of our engagement, except as may be required by law or as expressly permitted in these Terms or the SOW.

Intellectual Property:

• All intellectual property rights in any software, code, designs, documentation, and other materials developed by GangesSoft LLP during the course of our engagement shall belong to GangesSoft LLP, unless otherwise expressly agreed in writing.
• GangesSoft LLP grants you a non-exclusive, non-transferable license to use the software and other deliverables developed for you in accordance with the terms of the SOW.

3. Fees and Payment

Fees: Our fees for the Services will be as set forth in the SOW. Fees may be based on time and materials, fixed price, or other agreed-upon methodologies.

Expenses: Reimbursable expenses, such as travel, accommodation, and third-party software licenses, will be billed separately and supported by appropriate documentation.

Payment Terms: Invoices will be issued monthly and are due and payable within 10 days of the invoice date. Late payments may be subject to interest charges at 10% per month.

4. Client Responsibilities

Cooperation: You agree to cooperate fully with GangesSoft LLP in the performance of the Services, including providing timely access to information and resources.

Decision-Making: You agree to make timely decisions and approvals related to the Services to ensure timely project completion.

Third-Party Software: You are responsible for obtaining and maintaining all necessary licenses for any third-party software used in connection with the Services.

5. Termination

Termination for Convenience: Either party may terminate this agreement for convenience upon 30 days of written notice to the other party.

Termination for Cause: Either party may terminate this agreement for cause upon written notice to the other party in the event of:

• Material breach of these Terms by the other party.
• Insolvency or bankruptcy of the other party.
• Persistent failure to perform obligations under this agreement.

Consequences of Termination: Upon termination of this agreement, all outstanding fees shall become immediately due and payable. GangesSoft LLP shall have no further obligation to provide Services, and you shall have no further right to use any software or other deliverables developed under this agreement, except as otherwise agreed in writing.

6. Limitation of Liability

Disclaimer of Warranties: GangesSoft LLP disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability: In no event shall GangesSoft LLP's total liability to you for any claims arising out of or relating to this agreement exceed INR 100/-. GangesSoft LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption.

7. Indemnification

You agree to indemnify and hold GangesSoft LLP harmless from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of or relating to:

• Your breach of these Terms.
• Your use of the Services.
• Your infringement of any third-party intellectual property rights.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Delhi, India jurisdiction.

9. Amendments

These Terms may be amended from time to time by GangesSoft LLP upon written notice to you.

10. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

11. Entire Agreement

These Terms, together with the SOW, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, and agreements, whether oral or written.

12. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, upon the first business day following deposit in the India mail, postage prepaid, notarized and registered, return receipt requested, addressed as follows:

or to such other address as either party may designate in writing from time to time.

13. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under this agreement due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, fire, flood, earthquake, labor disputes, and government regulations.

14. Independent Contractor

GangesSoft LLP is an independent contractor and not an employee or agent of you.

15. Waiver

No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
